3. DESCRIPTION OF SERVICES

CountryOut provides AI-generated reports designed to help users explore expatriation options around the world. Users provide basic information such as passport country, work situation, family situation, preferred climate, and timeline to move. This information is processed using Anthropic's AI technology to generate customized reports.

We offer:

  • Free basic reports accessible by providing an email address
  • Premium paid reports with more detailed information available for purchase

4. USER REGISTRATION AND ACCOUNT

4.1 Registration:

To access certain features of our Services, you may be required to provide your email address. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

4.2 Account Security:

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

5. USER CONDUCT

You agree not to:

  • Use the Services for any illegal purpose or in violation of any local, state, national, or international law

By providing information to generate reports, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing and improving our Services.

6.2 Accuracy of Information:

We strive to provide accurate and helpful information through our AI reports. However, the quality of our reports depends on the accuracy of the information you provide. You acknowledge that our reports are for informational purposes only and do not constitute legal, immigration, or professional advice.

7. PAYMENTS AND SUBSCRIPTIONS

7.1 Fees:

Access to premium reports requires payment of applicable fees. All fees are in US Dollars unless otherwise stated.

7.2 Payment Processing:

Payments are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service and privacy policy.

7.3 Refunds:

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Our Content:

All content included on the website and in our reports, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the website, is the property of CountryOut or its suppliers and protected by copyright and other laws.

8.2 License to Use:

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use.

8.3 Restrictions:

You may not:

  • Modify copies of any materials from the Services
  • Use any illustrations, photographs, or graphics separately from the accompanying text
  • Delete or alter any copyright, trademark, or other proprietary notices
  • Access or use for any commercial purposes any part of the Services

9. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. COUNTRYOUT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. LIMITATION OF LIABILITY

IN NO EVENT WILL COUNTRYOUT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless CountryOut, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Services.

12. TERMINATION

We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe violates these Terms of Use or is harmful to other users of the Services, us, or third parties, or for any other reason.

13. GOVERNING LAW AND JURISDICTION

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms of Use or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in New York City, and you consent to the personal jurisdiction of such courts.

14. WAIVER AND SEVERABILITY

No waiver by CountryOut of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CountryOut to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of the Terms of Use will continue in full force and effect.

15. ENTIRE AGREEMENT

These Terms of Use, our Privacy Policy, and any terms of service for purchased services constitute the sole and entire agreement between you and CountryOut regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
